Welcome to Invoice Maker, a service provided by Appnova EU OÜ ("we," "our," "us," "Appnova"). By using our Invoice Maker application and the website www.appnova.io (collectively, the "Service"), you are agreeing to these Terms of Use. Please read them carefully.

These Terms of Use ("Terms") govern your access to and use of the Service. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Your Account

When you create an account with us, you must provide accurate, complete, and up-to-date information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or a name that is not lawfully available for use, or a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization.

3. Your Content

Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness.

By posting Content on or through the Service, you represent and warrant that:

2. The posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

4. Invoice Data and Usage

Our Service is primarily designed to help you create, manage, and track invoices. You understand and agree that:

1. You are solely responsible for the accuracy and completeness of all invoice data you create or manage through the Service.
2. You must comply with all applicable laws and regulations regarding invoicing, taxation, and business documentation in your jurisdiction.
3. The Service is a tool to assist you with invoicing tasks, but we do not provide legal, tax, or accounting advice.
4. We are not responsible for any financial or legal consequences resulting from your use of the invoices created through our Service.

5. Blacklist Feature

Our Service includes a blacklist feature that allows you to mark certain clients as problematic and potentially access information about clients that other users have blacklisted. By using this feature, you understand and agree that:

5.1 Your Use of the Blacklist Feature

1. You may add clients to your personal blacklist at your own discretion.
2. You are solely responsible for the accuracy and truthfulness of any information you add about blacklisted clients.
3. You agree not to use the blacklist feature to deliberately defame, harass, or unfairly discriminate against any person or business.
4. You understand that adding a client to your blacklist is your personal decision and should be based on legitimate business concerns.

5.2 Blacklist Data Sharing

1. If you choose to query whether a client has been blacklisted by other users, you must consent to share your own blacklist data with other users who have also opted into this feature.
2. This is a reciprocal sharing arrangement - you can only access others' blacklist data if you share your own.
3. While we take reasonable measures to protect your identity as the creator of a blacklist entry from other users, you acknowledge that we may be required to disclose this information in response to a valid legal request or court order.

5.3 Legal Implications

1. You agree to indemnify and hold Appnova EU OÜ harmless from any claims, losses, liabilities, damages, expenses, or costs (including but not limited to legal fees) arising from your use of the blacklist feature.
2. You acknowledge that we reserve the right to remove any blacklist entry at our sole discretion, particularly if we believe it may expose us or you to legal liability.
3. You understand that any information you obtain through the blacklist feature should be used as one factor in your business decisions, not as the sole determinant in how you treat a potential client.

6. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Appnova EU OÜ and its licensors. The Service is protected by copyright, trademark, and other laws of both Estonia and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Appnova EU OÜ.

7. Links to Other Web Sites

Our Service may contain links to third-party websites or services that are not owned or controlled by Appnova EU OÜ.

Appnova EU OÜ has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Appnova EU OÜ shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

8. Subscription and Payments

8.1 Subscription Tiers

The Service may offer various subscription tiers, including a free tier with limited features and premium tiers with additional features. Features available in each tier will be clearly displayed on our website or within the application.

8.2 Payment Terms

For premium subscriptions:

1. You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable.
2. You must provide current, complete, and accurate billing and credit card information.
3. You agree to promptly update account information, including email address, credit card numbers, and expiration dates, so that we can complete your transactions and contact you as needed.

8.3 Automatic Renewal

Unless you notify us before the end of the applicable subscription period that you want to cancel, your subscription will automatically renew, and you authorize us to collect the then-applicable annual or monthly subscription fee using any credit card or other payment mechanism we have on record for you.

8.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

1. You will continue to have access to the premium features until the end of your current billing cycle.
2. We do not provide refunds for unused portions of your subscription period.
3. Special circumstances for refunds may be considered at our sole discretion.

9. Limitation of Liability

In no event shall Appnova EU OÜ, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. Your access to or use of or inability to access or use the Service;
2. Any conduct or content of any third party on the Service;
3. Any content obtained from the Service; and
4. Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

To the maximum extent permitted by applicable law, the total liability of Appnova EU OÜ, and its suppliers and distributors, for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the Service (or, if we choose, to supplying you with the Service again).

10. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Appnova EU OÜ, its subsidiaries, affiliates, and its licensors do not warrant that:

1. The Service will function uninterrupted, secure, or available at any particular time or location;
2. Any errors or defects will be corrected;
3. The Service is free of viruses or other harmful components; or
4. The results of using the Service will meet your requirements.

While we strive to provide accurate calculations and proper invoice formatting, you are responsible for verifying the correctness of all invoices created through our Service before using them for business purposes.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

13. Prohibited Uses

You agree not to use the Service:

1. In any way that violates any applicable national or international law or regulation.
2. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
3. To send, knowingly receive, upload, download, use, or re-use any material which violates these Terms.
4. To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
5. To impersonate or attempt to impersonate Appnova EU OÜ, an Appnova employee, another user, or any other person or entity.
6. To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Appnova or users of the Service or expose them to liability.

14. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account from the app.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
